1. Acceptance of Terms

By accessing or using the Securi-Staff platform, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not use the platform. These Terms constitute a legally binding agreement between you and Securi-Staff.

2. Platform Definition

Securi-Staff is a neutral, web-based technology marketplace that facilitates introductions and communications between independent security agencies, independent security officers, and third-party requestors. Securi-Staff provides software tools only and does not provide security services or staffing services.

The platform is currently offered only for security work located in the State of Florida.

Securi-Staff is NOT and does NOT act as:

• A security company or provider of security services
• A staffing agency, employment agency, or temporary agency
• A dispatcher, supervisor, or manager of security personnel
• An employer, co-employer, joint employer, or employer of record
• A recruiter or broker of record
• A compliance authority, certification body, or licensing entity
• A paymaster or guarantor of employment terms

Securi-Staff operates exclusively as a technology platform providing software infrastructure for independent parties to connect and communicate.

3. No Employment or Agency Relationship

No employment, joint employment, partnership, agency relationship, or fiduciary relationship is created between Securi-Staff and any user by virtue of platform use.

Securi-Staff does not:

• Employ, contract with, supervise, train, or dispatch security officers
• Control the manner, means, or method of work performed by officers
• Set work schedules, compensation rates, or employment terms
• Exercise control over hiring, firing, or disciplinary decisions
• Maintain payroll, tax withholding, or employment records

Officers and agencies act independently and enter into agreements directly with each other, off-platform and at their own discretion.

4. No Verification, Endorsement, or Certification

Securi-Staff does not verify, certify, endorse, approve, or guarantee the licensing, training, background, insurance, credentials, or legal compliance of any officer, agency, or advertiser.

All credentials, licenses, certifications, and qualifications displayed on user profiles are self-reported by users unless expressly stated otherwise in writing by Securi-Staff.

Users are solely responsible for verifying the qualifications, compliance, and legal eligibility of other users with whom they engage. Securi-Staff expressly disclaims any duty to investigate, verify, or monitor user credentials.

5. Agency Responsibility for Compliance

Agencies are solely and exclusively responsible for verifying the licensing, insurance, background checks, training, credentials, and legal eligibility of any officer they engage through the platform.

Agencies must:

• Conduct independent background checks and credential verification
• Verify compliance with all applicable state and local licensing requirements
• Confirm insurance coverage and legal eligibility to perform security work
• Ensure all hiring decisions comply with employment law and regulations
• Maintain all required records, insurance, and bonding as required by law

Securi-Staff disclaims all responsibility for agency hiring decisions, supervision, and compliance failures.

6. Officer Responsibility for Compliance

Officers are solely responsible for:

• Maintaining all required licenses, certifications, and insurance
• Ensuring legal eligibility to perform security work in their jurisdiction
• Providing accurate and truthful information on their profile
• Complying with all applicable laws, regulations, and contractual obligations
• Verifying the legitimacy and licensing of agencies they engage with

7. No Recommendations, Rankings, or Guarantees

Securi-Staff does not recommend, rank, assign, favor, or guarantee the selection of any officer or agency.

Any ordering, visibility, or display of profiles is based solely on neutral platform functionality, user activity, and subscription tier. Search results and profile displays are determined by technical algorithms and user-selected filters, not by quality assessments or endorsements.

Agencies retain sole and exclusive discretion over all hiring, selection, and engagement decisions.

8. Subscription Tiers and Feature Access

Subscription tiers affect access to platform features, profile visibility, and search placement only. Subscriptions do not and cannot:

• Guarantee work, staffing outcomes, selection, or response rates
• Guarantee earnings, income, or compensation
• Influence agency hiring decisions or selection criteria
• Create entitlement to work assignments or employment
• Affect qualifications, licensing, or legal eligibility

Securi-Staff may modify features, access, and subscription tiers at any time without creating liability for lost business opportunities or earnings.

9. Payments

Securi-Staff does not hold, process or release payments between agencies and officers. Any such payment is arranged directly between them. Accordingly:

• Securi-Staff is not a paymaster, employer, or guarantor of payment
• Securi-Staff does not manage payroll, tax reporting, or employment records
• Users are responsible for tax reporting and compliance with employment laws

Payment disputes must be resolved directly between the transacting parties. The only payments Securi-Staff takes are subscription and listing fees, which are processed by a third-party payment processor.

10. User-Generated Content

Users are solely responsible for all content they submit to the platform, including profiles, opportunity postings, applications, messages, reviews, and advertisements.

Securi-Staff does not pre-screen, approve, or verify user-generated content. However, Securi-Staff reserves the right to remove content that violates these Terms or applicable law following a notice-and-takedown process.

Users must ensure their content is accurate, lawful, and does not infringe on the rights of others.

11. Reviews and Ratings

Reviews and ratings represent subjective opinions of individual users and are not verified facts or endorsements by Securi-Staff.

Ratings are displayed as simple numerical averages only. Securi-Staff does not calculate, display, or use trust scores, reliability scores, performance rankings, or any weighted or proprietary scoring systems that could imply endorsement or recommendation.

12. No Supervision, Dispatch, or Assignment

Securi-Staff does not assign, dispatch, supervise, or manage any work. Agencies post opportunities and independently select officers at their own discretion. Officers voluntarily apply to opportunities without any obligation. All supervision, management, work direction, scheduling, and on-site control occurs off-platform and directly between agencies and officers.

13. User Compliance with Law

All users must:

• Comply with all applicable federal, state, and local laws and regulations
• Maintain all required licenses, permits, insurance, and bonding
• Assume sole responsibility for regulatory and legal compliance
• Indemnify Securi-Staff for any violations or failures to comply

14. Disclaimers of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURI-STAFF EXPRESSLY DISCLAIMS ALL LIABILITY FOR:

• Acts, omissions, negligence, misconduct, or criminal conduct of any user
• Disputes, disagreements, or conflicts between users
• Personal injury, death, or property damage arising from user engagements
• Regulatory violations, licensing failures, or compliance deficiencies
• Employment disputes, wage claims, or classification issues
• Insurance coverage gaps or uninsured losses
• Background check failures or credential misrepresentations

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Securi-Staff shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind
• Securi-Staff's total aggregate liability shall not exceed the greater of (a) fees paid by you to Securi-Staff in the twelve months preceding the claim, or (b) $100
• These limitations apply regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Securi-Staff, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the platform
• Your engagements with other users
• Your violation of these Terms
• Your violation of any law or regulation
• Your failure to maintain required licenses, insurance, or compliance
• Any content you submit to the platform
• Any acts or omissions in connection with security work performed through platform connections

17. Resource Room (Third-Party Advertisers)

The Resource Room contains paid and unpaid listings from independent third-party advertisers. Securi-Staff does not endorse, recommend, verify, or guarantee any products, services, or claims of advertisers. Advertisers are solely responsible for the accuracy of their claims and compliance with applicable laws. Users engage with advertisers at their own risk.

19. Termination and Suspension

Securi-Staff may suspend or terminate user accounts for violations of these Terms, applicable law, or platform policies. Termination does not create any obligation on Securi-Staff to provide alternative staffing arrangements, refunds, or compensation for lost business opportunities.

20. Modifications to Terms

Securi-Staff reserves the right to modify these Terms at any time. Material changes will be communicated through the platform or via email. Continued use of the platform after changes constitutes acceptance of the modified Terms.

21. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any disputes arising from these Terms or use of the platform shall be resolved exclusively in the state or federal courts located in Broward County, and you consent to the personal jurisdiction of such courts.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms constitute the entire agreement between you and Securi-Staff regarding use of the platform and supersede all prior agreements and understandings.
